Matthew Sandiford is a partner in King & Spalding's Finance practice resident in the Atlanta office. Matthew is active in King & Spalding's leveraged finance, healthcare, venture finance and specialty finance practices.
Matthew represents financial institutions, lenders, investors, borrowers, underwriters and arrangers in leveraged finance, securitization and other secured and unsecured lending transactions, with a focus on healthcare services, pharmaceuticals, franchisors, medical device and sponsor finance transactions.
Matthew holds a Bachelor of Science in Foreign Service from Georgetown University and a J.D. from the University of Virginia. Matthew was a Robert Bosch Foundation Fellowship in Germany, during which he worked at the European Central Bank and Hamburg Commercial Bank.

Carolyn Richter is a counsel in Dentons' Capital Markets practice. She is a seasoned finance lawyer who blends commercial law and corporate restructuring experience to advise clients on a wide variety of transactions. She closes complex deals, including asset securitizations and other structured financings, including those involving electronic mortgage notes. She has also regularly served as lead counsel on credit facilities, distressed M&A and asset sale transactions, financings involving a tax equity investor such as solar financings, titling trust equipment financings, letter-of-credit transactions and margin loans. Carolyn has deep experience in transactions governed by the Uniform Commercial Code and in handling priority disputes and intercreditor issues involving personal property assets.
Based in Atlanta, Carolyn is a Fellow of the American College of Commercial Finance Lawyers and previously served as Chair of the Bankruptcy Law Section of the State Bar of Georgia. She is admitted to practice in Georgia, Florida, and New York and has been recognized by Best Lawyers for Securitization and Structured Finance. Carolyn received her JD from Tulane Law School, cum laude, where she was a member of the Moot Court Board.
Kathleen Currey is partner at Parker, Hudson, Rainer & Dobbs LLP in Atlanta, Georgia. She represents financial institutions and borrowers in secured lending and financial restructuring matters, and her proactive and client-focused approach leads to excellent commercial outcomes in her deals.
Kathleen has extensive experience with syndicated loan facilities, asset-based financings, debtor-in-possession financings and negotiating complex intercreditor and subordination agreements. She is a member of the Firm’s Executive Committee, chair of the Firm’s Partnership Committee, and former chair of the Firm’s Diversity and Inclusion Committee.
Kathleen is a Fellow of the American College of Commercial Finance Attorneys and is ranked in Chambers USA in Banking and Finance (2013-present) and in The Best Lawyers in America in Banking and Finance Law (2016-present), and was selected by The Best Lawyers in America as the 2026 Lawyer of the Year in Atlanta in the practice area of Banking and Finance Law. Kathleen has been featured multiple times in the Secured Finance Network’s Women in Secured Finance issue of The Secured Lender. She is a graduate of the University of South Carolina (B.S. in Business Administration (Finance)) and Emory University School of Law (J.D.) with distinction.
Mike Parisi is chair of Alston & Bird’s Corporate Debt Finance Team. He leads private credit lenders, bank lenders, corporate borrowers, and private equity sponsors in structuring, negotiating, and documenting a variety of asset-based and cash-flow lending transactions, including leveraged buyouts and acquisition financings. Mike has extensive experience in acquisition financing, cross-border financing, unitranche financings, intercreditor and inter-lender issues, debt restructurings and special situations, and secured creditor and bankruptcy rights. His experience extends across a wide range of industries, including software, technology, health care, restaurants and other franchised business models, marine services, retail and consumer products, metals and mining, and manufacturing.
Mike is featured as one of the leading Georgia lawyers for banking and finance in Chambers USA: America’s Leading Lawyers for Business. He is named to The Best Lawyers in America® for banking and finance law (2019–2026), commercial finance law (2023–2026), commercial transactions/UCC law (2022–2026) and was named the Atlanta “Lawyer of the Year” for commercial transactions/UCC law. Sean Sullivan counsels health care providers and vendors in the industry, including health care technology companies, in avoiding liability by ensuring regulatory compliance in operations and partnership opportunities; advising on business forms and transaction structures; investigating, disclosing, and resolving potential noncompliance; defending government investigations; and providing regulatory support to litigation and transactions as necessary. He also regularly advises private equity and other investors on the regulatory risks and structuring considerations associated with investing in the health care industry.
Sean started his legal career in the U.S. Army JAG Corps, where he advised commanders on regulatory matters and defended soldiers and officers accused of misconduct in courts martial and hearings, trying more than 40 cases to verdict during his time on active duty. Since leaving active duty, Sean has focused his career on advising national health care providers in regulatory actions, policy review, compliance, reimbursement, and liability prevention, including corporate practice of medicine, HIPAA, Stark Law, Anti-Kickback Statute, False Claims Act, and CMS rules. He has also litigated complex health care matters, including provider disputes, government investigations, and high-exposure long-term care medical malpractice cases.

Kendel Drew is an attorney in Holland & Knight's Atlanta office. Ms. Drew is a highly experienced financial services attorney who represents clients in a wide range of sophisticated finance transactions. Her practice includes real estate secured financings, cash flow facilities, asset-based lending, leveraged acquisitions, dividend recapitalizations, healthcare financings, working capital facilities, Term B facilities, factoring transactions and cross-border deals.
Ms. Drew’s practice focuses on commercial finance transactions involving specialized industries such as senior housing and skilled nursing, medical office, data centers, media and telecommunications, food and beverage, manufacturing and healthcare. Doug Gosden is a financial services attorney in Holland & Knight's Atlanta office with more than 30 years of experience in commercial finance transactions, with an emphasis on syndicated finance transactions. Mr. Gosden regularly represents financial institutions, direct and institutional lenders and corporate borrowers in domestic and cross-border leveraged and investment-grade lending transactions, as well as restructuring and bankruptcy matters.
Mr. Gosden's experience also includes working capital facilities, first- and second-lien financing arrangements, split-lien financings and other customized loan arrangements involving intercreditor agreements, agreements among lenders and subordination agreements. Additionally, he is well versed in handling commercial paper backstop facilities, acquisition financing (including certain funds transactions and leveraged buyouts) and the subsequent and related transactions that follow, including dividend recaps, add-ons, upsizes and repricing transactions, and liability management transactions.
Mr. Gosden's industry experience includes digital infrastructure, including tower companies, data centers and fiber optic providers, manufacturing, financial technology (FinTech), telecommunications, software as a service (SaaS) and healthcare. Mr. Gosden also counsels clients on all aspects of secured transactions, including Uniform Commercial Code (UCC) foreclosure proceedings.

Daniel Ennis is a partner in the Commercial Finance practice group of Parker, Hudson, Rainer & Dobbs LLP in Atlanta. He primarily represents banks, finance companies, and other lenders in all aspects of lending transactions with a wide range of size and complexity, and is experienced in cross-border, lender, retail, and distribution finance, and credit facilities secured by specialized collateral. Dan has spoken for the State Bar of Georgia and the Turnaround Management Association and is an active member of the Secured Finance Network and the Turnaround Management Association.
Dan is one of SFNet’s 40 Under 40 Award recipients for 2021. He graduated from Lee University School of Law where he graduated magna cum laude and was Order of the Coif. Dan received his B.A., magna cum laude, from Furman University and was Phi Beta Kappa. Dan and his wife reside in Atlanta, Georgia with their four children.
Anthony Cianciotti is a shareholder in the Atlanta office of Baker Donelson and a member of the Financial Services Transactions Group. His clients include national and regional banks, private credit funds, other non-bank lenders, as well as borrowers, in complex secured and unsecured credit facilities, including asset-based and cash flow working capital facilities, equipment and acquisition financing, and venture debt and growth capital financing. He frequently advises clients in structuring credit agreements to address matters involving complex collateral considerations, including lending against in-transit inventory, trademarked goods, perishable agricultural commodities, and government contracts.
Will Curtis is an associate in the Charlotte office of Baker Donelson and a member of the Corporate Restructuring and Bankruptcy Group. He represents banks, financial institutions, and corporate entities across the United States in insolvency matters and loan workouts. In addition to his work in insolvency and loan workouts, Will also represents banks and other financial institutions in a range of commercial finance matters, including first out last out lending arrangements, mezzanine lending, secured and unsecured credit facilities, and syndicated credit facilities.
Sean O’Donovan is an associate in the Atlanta office of Baker Donelson and a member of the Corporate Restructuring and Bankruptcy Group. In addition to advising clients in insolvency matters and loan workouts, Sean regularly represents bank and non-bank lenders in connection with commercial finance transactions, including asset-based and cash flow loans and private equity acquisition financings.
Brooke Bean is an associate in King & Spalding’s Finance and Restructuring Group, resident in the firm’s Atlanta office. Brooke represents banks and other investors in connection with their most complex restructurings, bankruptcy, and finance matters. Brooke also represents corporate debtors in Chapter 11 bankruptcy cases throughout the country. Brooke’s practice spans a wide variety of industries, including the restaurant, real estate, healthcare, energy, transportation, and manufacturing industries.
Brooke is a graduate of the University of Virginia School of Law (where she earned her law degree) and George Washington University (where she earned her bachelor's degree, summa cum laude).
Ben Aqua is a senior associate in King & Spalding's Finance practice in the Atlanta office. Originally from Wellington, Florida, Ben holds a B.B.A. in Finance and Marketing from Emory University and a J.D. from the University of Georgia School of Law, where he graduated magna cum laude and served as the Senior Online Editor of the Georgia Law Review.
David Wender is Practice Group Leader of Evershed Sutherland’s US Finance Practice Group and Co-Head of the US Restructuring and Insolvency team. David represents bank and non-bank lenders in structuring, negotiating and documenting multi-faceted secured and unsecured loan transactions across industries. His experience extends to traditional corporate financing/refinancing, acquisition financing, intercreditor and inter-lender agreements and restructurings.
David’s practice also includes representing a broad range of clients in complex bankruptcy cases, out-of-court workouts, debt restructurings, asset dispositions and claims reconciliation procedures. He represents purchasers, sellers and other parties in bankruptcy Section 363 sales, debtors in possession, secured and unsecured creditors and creditor’s committees.
In addition to being recognized by several leading legal service rankings, David was inducted as a fellow in the American College of Bankruptcy in 2022 and was identified by Chambers as Band One rated in Georgia for Bankruptcy/Restructuring. Prior to entering private practice, David served as law clerk to the Honorable Mary F. Walrath at the United States Bankruptcy Court for the District of Delaware.
Nader Abou Mrad is an Associate in the Eversheds Sutherland Finance Practice Group focusing on restructuring and insolvency. He advises clients across the debt spectrum, from loan origination, to amendments, and to distressed situations. His experience extends across multiple industries, including energy, healthcare, and real estate.
Prior to gaining his US law degree, Nader was an associate at a law firm in Lebanon, where he worked on cases across multiple areas of litigation. Prior to joining the Beirut Bar, he completed degrees in business and law at two universities simultaneously. While pursuing his US law degree, Nader wrote reviews for 250 law review article submissions and wrote three articles on bankruptcy law and a student note on artificial intelligence and access to justice. Additionally, he was selected by the American College of Bankruptcy to receive the 2025 Distinguished Bankruptcy Student for the Eleventh Circuit.
